1. Introduction and Scope
These Terms of Service ("Terms") constitute a legally binding agreement as of the date you start using Singular ("the Service") governing your access to and use of the Service. The agreement described in these Terms is between Quantum Fractal Ltd, operating in the United Kingdom ("us", "we", or "our") and you, as an individual or as a representative of an organisation ("you" or "your"). By using the Service, you indicate that you agree with the Terms as well as the Privacy Policy.
The Service constitutes a web-based platform for managing tasks and projects. Users can create a free or paid account and invite other users to collaborate on projects.
These Terms apply to all users of the Service whether they have a free or paid account. Users must be 18 or over to use the Service.
These Terms may occasionally be changed by us without prior notice. In case we make changes to these Terms, we will inform you by email.
2. User Conduct and Acceptable Use
In using the Service, users should act responsibly and comply with all applicable local, national and international laws. Users are prohibited from using the Service for any unlawful activities.
Users may not upload harmful, defamatory, obscene, abusive, hateful or discriminatory content to the Service. Users are also prohibited from using the Service in a way that violates intellectual property, such as by uploading material for which they don't have permission from the respective copyright, trademark, or other proprietary rights holders.
Users may not attempt to circumvent the security features of the Service or test its vulnerabilities with the aim of accessing restricted content, distributing viruses, malware or other harmful content. They may also not send bulk messages, advertising or promotional content without prior permission.
Users are also prohibited from interfering with the effective running of the Service by attempting to overload the servers on which the Service is running.
Users may not engage in impersonation or misrepresent their identity, affiliation or the origin of their communications.
Users are responsible for any content that they upload or submit to the Service and we reserve the right to remove any content that violates the Terms, and to investigate violations and take actions such as suspending or terminating User accounts, and reporting illegal activity to the authorities.
3. Intellectual Property
All content and materials provided through the Service, including text, images, logos, underlying software are owner by us or our licensors, and are protected by intellectual property laws.
By providing access to the Service, we are granting users a limited, non-exclusive, non-transferable and revocable license to use the service and its content solely for authorised use, subject to the Terms.
Users are prohibited from copying, modifying, distributing, selling, reverse-engineering or otherwise exploiting the service or its content without express prior written permission.
If you upload or submit content to the Service, you retain ownership of your content. However, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content as necessary to operate, improve and promote the Service. By uploading or submitting content to the Service you guarantee that you have the right to grant this license and that your content does not infringe on third-party rights.
4. Liability and Disclaimers
The Service is provided "As Is", without warranties of any kind, explicit or implied. There are no guarantees about up-time, provided functionality, accuracy, reliability or fitness of the Service for any particular purpose.
Although every effort is made to ensure the service operates effectively, we cannot guarantee that the service is free from bugs, errors, viruses or interruptions or that the content is accurate, complete or up-to-date.
Any liability for damages, direct or indirect, through loss of data, profits, revenues or opportunities shall never exceed the amount you paid for the Service in the 12 months preceding a claim, if any.
We do not accept responsibility for the functioning of any third-party services and links hosted on our platform.
Users accept they use the Service at their own risk and are responsible for their interactions, content and any decisions they make based on information provided through the Service.
5. Account Management
Anyone over the age of 18 is eligible to create an account on the Service. To do so, you must provide your first name, your last name and a valid email address you own as well as a password to access the service.
As a user, it is your responsibility to maintain the confidentiality of your login credentials and to keep your account information up-to-date. Any activity on your account, whether authorised or not, remains your responsibility.
If you suspect unauthorised access to your account, you are to notify us immediately on support@singular-app.com. We are not liable for any losses resulting from a failure on your part to fully secure your account.
We reserve the right to suspend or terminate any account which violates the Terms or any applicable law, or where an account is inactive for more than a year.
To delete or deactivate your account, email support@singular-app.com. Once your account has been deleted, your data will no longer be accessible.
6. Payment and Transactions
Users agree to pay all applicable fees as indicated at the time of purchase. Fees for our plans can change at any time with or without prior notice. Fees are based on the chosen plan and the number of seats required. Users can upgrade their plan or increase the number of seats within their subscription term by paying an additional fee.
Users are required to provide full and accurate billing information and to keep payment details current.
All payments are securely processed by our third-party payment providers and subject to their terms and privacy policies. We are not responsible for any errors or delays caused by these providers.
All subscriptions are annual and payment reminders are sent out at least one week in advance of your subscription coming to an end.
New users to the platform can cancel their subscription within 14 days and receive a full refund. Refunds are only processed to the card from which the payment was taken and can take up to 28 days to reach your account.
If a payment fails you can try again or pay via bank transfer. To do so please contact support@singular-app.com.
All payments are in GBP and exchange rates may vary based on your location or payment provider.
Unauthorised chargebacks are considered a breach of these Terms and we reserve the right to suspend or terminate accounts involved in disputed transactions.
7. Dispute Resolution
If you have a dispute or concern regarding the Service, please contact us on support@singular-app.com in the first instance so we can try to resolve the issue without the need for legal action.
These Terms and any non-contractual obligations arising from them shall be governed by the laws of England and Wales.
If informal resolution is not possible, you and Quantum Fractal agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute arising from these Terms or the use of the Service.
Your statutory rights as a consumer including those under the Consumer Rights Act 2015 are not affected by this section.
8. Miscellaneous
These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Quantum Fractal Ltd regarding your use of the Service and supersede any prior agreements.
If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity of the remaining provisions.
Any failure on our part to enforce any right or provision under these Terms shall not constitute a waver of that right or provision.
We shall not be liable for any failures to perform our duties resulting from causes outside our reasonable control, including but not limited to acts of God, governmental actions, war, terrorism or internet or utility failures.
A person who is not a party to these Terms has no right to enforce any term under the Contracts (Rights of Third Parties) Act 1999.
